Article 1 General Provisions

1.1 These Terms of Use (hereinafter referred to as "these Terms") constitute a legally binding agreement between you and the Eugooo platform (hereinafter referred to as "the Platform" or "we"). The Platform is operated by Shenzhen Jietong Gongying Cross-border Supply Chain Co., Ltd. (hereinafter referred to as "the Operator"), with the domain name eugooo.com.

1.2 These Terms apply to your access, browsing, registration, and use of all services provided by the Platform (hereinafter referred to as "the Services"). Please read these Terms carefully before using the Services. By clicking "Agree" or actually using the Services, you acknowledge that you have fully read, understood, and accepted all the contents of these Terms.

1.3 These Terms and the Privacy Policy together constitute the complete agreement governing your use of the Services. By using the Services, you agree to the collection, use, and disclosure of your personal information in accordance with our Privacy Policy.

1.4 If you do not agree with any part of these Terms or the Privacy Policy, or object to any modifications to these Terms, please immediately cease using the Services.

1.5 The Platform reserves the right to modify these Terms from time to time in accordance with changes in laws, regulations, and business needs, and will publish such modifications on the Platform. The modified Terms shall take effect upon publication. Your continued use of the Services constitutes acceptance of the modified Terms.

Article 2 Definitions

2.1 "User" or "you": refers to any natural person, legal entity, or other organization that accesses, browses, registers for, or uses the Services, including Manufacturers and Buyers.

2.2 "Manufacturer": refers to an enterprise registered on the Platform that displays its product information, production capabilities, and relevant qualifications.

2.3 "Buyer": refers to an enterprise that browses manufacturer information, posts procurement requirements, or contacts manufacturers on the Platform.

2.4 "Content": refers to text, images, videos, links, and other information posted, uploaded, or displayed by users on the Platform.

2.5 "Platform Services": refers to the services provided by the Platform to users, including manufacturer information display, procurement requirement posting, supply-demand matching, online communication tools, and related technical services.

Article 3 User Eligibility

3.1 You must be at least eighteen (18) years of age and have reached the age of majority in your jurisdiction, and have the capacity to enter into a binding contract with us under applicable law, in order to use the Services.

3.2 You represent and warrant that: (a) your use of the Services is lawful in your jurisdiction or the place from which you access the Services and does not violate any applicable laws or regulations; (b) you have the legal right and capacity to enter into these Terms and use the Services in accordance with these Terms; (c) your use of the Services will comply with these Terms and all applicable laws and regulations.

3.3 If you are using the Services on behalf of a company, business, or other entity, then (a) the term "you" includes both you and such entity, and (b) you represent and warrant that you are authorized to bind such entity to these Terms.

Article 4 Account Registration and Management

4.1 You must register an account before using the Services. During registration, you shall provide true, accurate, complete, and legally valid information, and promptly update such information when changes occur.

4.2 You shall properly safeguard your account and password, and bear legal responsibility for all activities conducted under your account. If you discover unauthorized use of your account or any security risk, you shall immediately notify the Platform.

4.3 The Platform reserves the right to review users' registration information and qualifications. If false information is provided or the user does not meet Platform requirements, the Platform may refuse registration or suspend or terminate the Services.

4.4 Users may not transfer, lend, or share accounts. Any losses resulting from account sharing shall be borne solely by the user.

Article 5 Platform Services

5.1 The Platform is an M2B (Manufacturer-to-Business) information service platform dedicated to connecting manufacturers with buyers, providing the following services:

(i) Manufacturer Information Display: Manufacturers may display company profiles, product catalogs, production capabilities, certifications, and other information on the Platform;

(ii) Procurement Requirement Posting: Buyers may post procurement requirements, including product specifications, quantities, delivery timelines, etc.;

(iii) Supply-Demand Matching: The Platform uses technical means to provide information matching services for manufacturers and buyers;

(iv) Online Communication Tools: The Platform provides in-site messaging, instant messaging, and other tools to facilitate communication between parties;

(v) Other related technical services.

5.2Important Statement: The Platform is solely an information matching platform. It does not directly participate in any transactions, does not provide online transaction or payment functions, does not act as an agent for import or export business, and does not guarantee the authenticity, legality, or performance of any transaction. All transactions are negotiated independently by users and completed offline.

5.3 The Platform reserves the right to add, reduce, or adjust service content according to business development needs, with prior notice published on the Platform.

Article 6 User Conduct Rules

6.1 When using the Services, users shall comply with the laws and regulations of the People's Republic of China, respect social ethics, and shall not engage in the following conduct:

(i) Posting false, misleading, or fraudulent information;

(ii) Infringing upon others' intellectual property rights, trade secrets, or other legitimate rights and interests;

(iii) Posting obscene, pornographic, violent, terrorist, or hateful content;

(iv) Engaging in money laundering, fraud, pyramid schemes, or other illegal activities;

(v) Interfering with, disrupting, or attacking the normal operation of the Platform;

(vi) Collecting, using, or disclosing other users' personal information without authorization;

(vii) Other conduct that violates laws, regulations, or these Terms.

6.2 Content posted by users on the Platform shall be true, lawful, and accurate, and users shall bear corresponding legal responsibility.

6.3 Users may not use the Platform to engage in any import or export trade agency activities. The Platform only provides information display and matching services and does not participate in actual trade processes.

6.4Technical Prohibitions. Users may not violate or attempt to violate any security features of the Platform, including but not limited to:

(i) Using "robots," spiders, intelligent agent software, or similar technologies to access any content beyond the publicly posted portions of the Platform;

(ii) Data mining, data scraping, or damaging the Platform in any way;

(iii) Attempting to probe, scan, or test the vulnerabilities of the Platform or any related systems, services, or networks;

(iv) Interfering with or attempting to interfere with services provided by the Platform to any user, host, or network;

(v) Forging any TCP/IP packet header or any part of the header information;

(vi) Attempting to modify, reverse engineer, decompile, disassemble, or otherwise reduce or attempt to reduce any source code used by the Platform to a human-perceivable form;

(vii) Circumventing any access or usage restrictions, data encryption, or content protection related to the Platform.

Article 7 Intellectual Property

7.1 All content of the Platform, including but not limited to text, images, logos, software, code, interface design, and databases, is owned by the Platform or relevant rights holders and is protected by law.

7.2 Users retain intellectual property rights to the content they post on the Platform. Users grant the Platform a non-exclusive, worldwide, royalty-free, sublicensable license to display, distribute, and store such content.

7.3 Users warrant that the content they post does not infringe upon any third party's intellectual property rights. Users shall bear full legal responsibility for any intellectual property disputes arising from content they post.

7.4 Without the Platform's written permission, no entity or individual may copy, modify, distribute, sell, or reverse engineer the Platform's content or technology.

Article 8 Disclaimer

8.1 The Platform provides services on an "as is" and "as available" basis, without any express or implied warranties, including but not limited to warranties of fitness for purpose, accuracy, completeness, reliability, timeliness, or error-free operation.

8.2 The Platform only provides information matching services and does not guarantee the authenticity, accuracy, or completeness of product information or qualification certificates provided by manufacturers. Buyers shall independently verify relevant information and make their own commercial judgments.

8.3 The Platform assumes no responsibility for any offline transactions, contract performance, product quality, payment, or other matters between users. Any disputes arising from transactions shall be resolved by the parties to the transaction.

8.4 The Platform shall not be liable for compensation for service interruptions or data loss caused by force majeure, system maintenance, network failures, third-party reasons, etc., but will make every effort to minimize losses and restore services promptly.

Article 9 Breach of Contract Liability

9.1 If a user violates any provision of these Terms, the Platform reserves the right to take one or more of the following measures:

(i) Require the user to correct the breach;

(ii) Delete violative content;

(iii) Suspend or restrict the user's access to the Services;

(iv) Terminate the user's account;

(v) Pursue legal liability against the user.

9.2 If a user's breach causes losses to the Platform or any third party, the user shall bear compensation liability.

Article 10 Indemnification

10.1 You agree to defend, indemnify, and hold harmless the Operator from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or in connection with any of the following:

(i) Your breach or alleged breach of these Terms;

(ii) Your use of the Services;

(iii) Your violation of any laws, rules, regulations, or orders of any governmental authority;

(iv) Your infringement of any third party's rights, including any intellectual property rights, trade secrets, property rights, or privacy rights;

(v) Any false representation made by you.

10.2 The Operator reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with the Operator in the defense of any claim. You may not settle any claim without the Operator's prior written consent.

Article 11 Third-Party Websites

11.1 For your convenience, the Services may contain content, links, and other information submitted by third parties that the Operator does not control or assume responsibility for. The Operator has no obligation to monitor, control, or restrict the use of third-party websites or services accessed through links provided through the Services.

11.2 These other websites or services are not under the Operator's control, and you acknowledge that the Operator is not responsible for the accuracy, copyright compliance, legality, or any other aspect of the content of such websites or services, regardless of whether such websites or services are affiliated with the Operator in any way. The inclusion of such links does not imply endorsement by the Operator of any website or service or any association with its operators. You access and use third-party websites at your own risk.

Article 12 Electronic Communications

12.1 We may communicate with you electronically regarding the Services, including via email. You agree that all notices, disclosures, agreements, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

12.2 You agree that whenever you consent electronically or through the Services, your action is intended as an electronic signature that is binding upon you, just as if you had signed on paper.

Article 13 Force Majeure

13.1 We shall not be responsible for any delay or failure to perform any part of these Terms due to any cause beyond our reasonable control, including but not limited to: acts of God, epidemics, acts of civil or military authorities, current laws and regulations and changes thereto, embargoes, wars, acts of terrorism, disturbances, riots, fires, explosions, earthquakes, nuclear accidents, floods, strikes, power outages, volcanic activity, other significant environmental disturbances, unusually severe weather conditions, hacking and other illegal activities by third parties, inability to protect products or services of others or transportation facilities, acts or omissions of transportation or telecommunications common carriers, or acts, omissions, overloading, or slowdowns of the Internet or any third-party Internet service providers.

Article 14 Termination

14.1 Users may terminate these Terms at any time by canceling their account. After account cancellation, the Platform will cease providing services to that user.

14.2 If a user violates these Terms, the Platform reserves the right to terminate these Terms and close the user's account at any time without further notice.

14.3 After termination of these Terms, content posted by the user on the Platform may continue to be retained, but the Platform has no obligation to continue displaying it.

14.4 Upon termination of these Terms, provisions regarding intellectual property, disclaimer, indemnification, and dispute resolution shall remain in effect.

Article 15 Dispute Resolution

15.1 The formation, validity, interpretation, performance, and dispute resolution of these Terms shall be governed by the laws of the People's Republic of China (for the purposes of these Terms, excluding the laws of the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and Taiwan region).

15.2 Any dispute arising from or in connection with these Terms shall first be resolved through friendly consultation between the parties; if consultation fails, either party may bring a lawsuit to the competent people's court at the location of the Platform operator (Longgang District, Shenzhen).

Article 16 Miscellaneous

16.1 If any provision of these Terms is deemed invalid or unenforceable, the validity of the remaining provisions shall not be affected.

16.2 The Platform's failure or delay in exercising any right under these Terms shall not constitute a waiver of such right.

16.3 These Terms constitute the entire agreement between the parties regarding the Services, superseding all prior oral or written agreements concerning the same subject matter.

16.4 The Operator may assign its rights and obligations under these Terms in whole or in part to any party at any time without prior notice. You may not assign these Terms or delegate your duties under these Terms without the Operator's prior written consent.
